1. Acceptance of Terms

By downloading, installing, or using the qtapp.ai application, you accept these terms and conditions. If you do not agree, do not use our services.

2. Nature of the Service

IMPORTANT NOTICE

QTapp is a technology platform that provides orchestration, integration, and technology-facilitation services for initiating and tracking payment operations and other digital services.

  • QTapp is NOT a financial institution, is not a Financial Technology Institution (ITF), nor an Electronic Payment Funds Institution (IFPE) under the Mexican Law to Regulate Financial Technology Institutions.
  • QTapp does NOT receive, hold, manage, or maintain funds from users.
  • All financial services, including reception, custody, transfer, and settlement of funds, are provided exclusively by authorized third parties, such as financial institutions, banks, or Electronic Payment Funds Institutions, under applicable law.

3. Funds Flow and Financial Responsibility

Funds associated with operations carried out through QTapp are held and managed by authorized third parties, including Electronic Payment Funds Institutions (IFPEs) and/or participating financial institutions.

QTapp acts solely as a technology intermediary, providing interfaces and functionalities for instructing, visualizing, and tracking operations.

Express Declaration

At no time does QTapp have control, possession, or custody over users' financial resources, nor does it maintain deposit accounts or financial balances in its name.

3.1 Collections and Payments on the User's Behalf (Commercial Commission)

By accepting these Terms, the user grants Yusol Proyectos, S.A.P.I. de C.V. a commercial commission (comisión mercantil) under Articles 273 et seq. of the Mexican Commercial Code, authorizing it to:

  • Arrange for their collections — including settlements ordered by point-of-sale (POS) aggregators engaged by the user and SPEI payments directed to the collection CLABEs issued by STP — to be received in the electronic payment funds account opened with STP, where the funds remain at all times in the custody of that institution.
  • Validate and transmit to STP, for execution, the payment and disbursement instructions the user orders in favor of their suppliers, creditors, or personnel.

Yusol Proyectos' participation is limited to the technological validation and transmission to STP of the user's instructions, and to receiving and reconciling the confirmations issued by that institution: it cannot initiate, modify, or reassign operations on its own, has no discretionary control over the funds, and at no time acquires their ownership. The financial services — receiving deposits, custody, issuing CLABEs, and executing SPEI transfers — are provided by STP in its capacity as an IFPE authorized and supervised by the CNBV. The commercial relationship between the user and their own counterparties is documented directly between them.

3.2 POS Aggregator Settlements

The user may instruct that the settlements of collections made through their point-of-sale aggregators be credited to the electronic payment funds account opened with STP. In such SPEI transfers, the beneficiary name field may identify the user as the final owner of the funds, while the receiving CLABE is issued by STP and linked to that account.

Each credit is identified in favor of the owning user through the information of the SPEI transfer itself — numeric reference, concept, and beneficiary name, backed by the Banxico payment receipt (CEP). The platform's internal records serve an exclusively operational reconciliation and reporting function: they allow each movement to be attributed to the corresponding user based on the documented instructions and the operations recorded by STP; they do not represent an autonomous payment obligation of Yusol Proyectos, do not replace the financial institution's records, and do not constitute deposits, balances, or rights owed by it.

4. Third-Party Responsibility

QTapp shall not be responsible for:

  • Failures, delays, rejections, or interruptions in third-party systems, including payment systems, SPEI, CoDi, or others.
  • Operational, regulatory, or technical decisions made by financial institutions, banks, IFPEs, or external processors.
  • Suspension, blocking, or cancellation of operations resulting from compliance processes, anti-money laundering measures, or requirements of competent authorities.

The user acknowledges and accepts that financial services are provided by third parties independent of QTapp, and that QTapp acts exclusively as a technology facilitator.

5. Ownership and Brand

QTapp (qtapp.ai) and TKM Technology are commercial brands owned by Yusol Proyectos, S.A.P.I. de C.V. All services provided through the QTapp application, including third-party integrations, are operated and administered by Yusol Proyectos, S.A.P.I. de C.V. Any reference in these Terms to "QTapp" or "TKM Technology" is understood as a reference to Yusol Proyectos, S.A.P.I. de C.V.

6. Google Integration

QTapp allows users to connect their Google account to enable sending emails through the artificial intelligence assistant. When you connect your Google account, you authorize tkm.technology (the name shown on Google's authorization screens) to access the following service:

  • Gmail (gmail.send): Send emails on your behalf

6.1 Use of Google Data

QTapp uses the Gmail permission exclusively to send emails when the user explicitly requests it through the AI assistant. Google data is used solely to provide this functionality within the application.

Privacy Commitment

  • We do not store the content of your emails
  • We do not use Google data to train AI models
  • We do not share Google data with third parties
  • We only access Gmail when you initiate an email-sending action

6.2 Connection Management

You can connect or disconnect your Google account at any time from the "Integrations" section of the application. Upon disconnecting, QTapp will immediately lose access to your Gmail account.

7. Service Description

qtapp.ai operates as a technology platform that technologically facilitates the generation and transmission to STP of instructions related to financial services provided by Sistema de Transferencias y Pagos S.A. de C.V., Institución de Fondos de Pago Electrónico (STP), an authorized Electronic Payment Funds Institution, enabling:

  • QR codes compatible with Banxico's CoDi
  • Technological access to SPEI transfers provided and executed by STP, subject to the level, limits, schedules, validations, and other conditions established by STP
  • An 18-digit CLABE assigned by STP, subject to that institution's contracting, validation, and approval
  • AI-powered features

8. Payment Infrastructure

Important Notice

qtapp.ai is not a banking institution or a financial institution.

qtapp.ai operates as a technology orchestrator of payment operations using the infrastructure of Sistema de Transferencias y Pagos S.A. de C.V., Institución de Fondos de Pago Electrónico (STP), authorized by the Mexican National Banking and Securities Commission (CNBV).

The funds related to the financial services are received, recorded, held, and administered by STP in accordance with financial legislation and the contractual conditions applicable to that institution.

Yusol Proyectos, S.A.P.I. de C.V. acts as the operator of the qtapp.ai platform, while STP provides the CLABE, SPEI, and CoDi infrastructure.

9. Registration and Account

When you register, you receive:

  • An 18-digit CLABE assigned by STP, subject to that institution's contracting, validation, and approval
  • A technology dashboard to manage the instruction of payments and collections
  • A personal qtapp QR code to receive from qtapp.ai users
  • CoDi codes to collect payments from banking apps

Registration is free, with no monthly fees or minimums. Registering with QTapp does not by itself entail the opening of a financial account: the assignment of a CLABE and the enablement of payment services are subject to the corresponding acceptance and validation with STP.

10. Account Levels and Transfer Limits

QTApp operates under a tiered system that determines platform usage limits and the features available to each user. Outgoing transfers (SPEI OUT) require a minimum verification level.

The financial services integrated into the platform are subject to the levels, limits, identification requirements, schedules, and acceptance criteria determined by STP in accordance with applicable law and its policies. QTapp may establish additional technological security or usage controls, which do not replace or modify STP's limits or decisions. The levels and limits described in this section constitute internal security controls and usage controls of the technology interface.

10.1 Level Details

Oro Level

    • INE (Mexican ID) or Passport (valid identity document)

Platinum Level - Individuals

    • Identification of ultimate beneficial owners (>25% ownership)

Limits for legal entities are subject to risk assessment and Enhanced Due Diligence (EDD).

10.2 Level Upgrade

  • Level change is automatic upon completing the required information
  • There is no additional cost to upgrade
  • Once a higher level is reached, it is maintained as long as the information provided remains valid
  • QTApp reserves the right to request additional documentation to verify the information provided

10.3 Monthly Limit Tracking

  • The monthly limit resets on day 1 of each month at 00:00 (Central Mexico time)
  • Only successful outgoing transfers are counted
  • Deposits received do not count toward the monthly limit
  • Failed or canceled transfers are not deducted from the limit

10.4 Exceeding the Limit

  • If you attempt a transfer that exceeds your available monthly limit, the operation will be rejected
  • You will receive a notification indicating your current limit and the remaining amount available
  • To continue operating, you can:
    • Wait until the start of the next month
    • Upgrade your level by completing the additional information required

10.5 Special Limits

QTApp reserves the right to:

  • Set customized technological controls for security or fraud-prevention reasons, without replacing or modifying STP's limits or decisions
  • Temporarily reduce platform usage limits if unusual activity is detected
  • Request additional information before transmitting high-value instructions

10.6 Truthfulness of Information

The user agrees to:

  • Provide truthful and updated information
  • Notify any changes to their tax information
  • Not use third-party data to increase their level

Providing false information may result in:

  • Immediate account suspension
  • Making the information available where there is a legal obligation, a request from a competent authority, or reasonable indications of unlawful conduct
  • Legal liability under applicable laws

10.7 Data Validation

  • The RFC must match the official SAT format (12 or 13 characters)
  • The CURP must be valid and match the data provided (18 characters)
  • QTApp may validate this data against official sources

10.8 Written Agreement and File Completion for High-Volume Operation

When a user's operations exceed $500,000 MXN per month, or when QTApp so requires in order to allow QTApp and the integrated financial providers to comply with their contractual, security, fraud-prevention, and, where applicable, regulatory obligations, the user agrees to:

  • Execute with a handwritten signature, within 30 calendar days of QTApp's request, the written commercial commission, engagement, and instruction agreement that formalizes the relationship governed by these Terms. The commercial commission governs exclusively the engagement between Yusol and the client and does not grant Yusol powers to receive funds as its own property, recognize balances owed by it, dispose of the funds at its discretion, or provide reserved financial services on its own behalf.
  • Complete and keep their file up to date with the documentation QTApp requests, including but not limited to: articles of incorporation, legal representative's powers of attorney, proof of tax domicile, identification of ultimate beneficial owners, economic activity declaration and, where applicable, agreements executed with their point-of-sale aggregators.

Failure to sign the agreement or deliver the documentation within the stated period entitles QTApp to adjust limits, suspend operations, or cancel the account, pursuant to sections 10.5 and 22.

12. SPEI Transfer Settlement Times

Transfers carried out through the Interbank Electronic Payments System (SPEI) operate in 24/7 mode for users with Oro level and above. Basic-level users are subject to the operating hours of the Mexican banking system.

12.1 Operating Hours

24/7 Operation — Oro, Platinum and above

As of April 2026, users with Oro, Platinum, or higher level can instruct the sending and receipt of SPEI transfers — provided and executed by STP24 hours a day, 7 days a week, including weekends and holidays, thanks to STP's enablement of 24/7 operation.

Basic Level — Standard banking hours

Users with Basic level operate SPEI transfers from Monday to Friday, 6:00 to 17:30 (Central Mexico time). To access 24/7 operation, upgrade to Oro or above.

12.4 Internal Transfers

24/7 Availability

Transfers between QTApp users (via QR code or internal account number) are processed immediately 24 hours a day, 7 days a week, as they do not depend on the SPEI system.

12.5 Important Information

  • The times indicated are estimates and may vary depending on the receiving bank
  • QTApp will display the estimated settlement time on screen when you make each transfer
  • Once the payment order is sent to STP, the settlement process is the responsibility of the banking system

13. Broker Program

Users can become qtapp.ai Brokers and earn commissions for each person or business they refer to the platform.

Broker Commission: $0.30 MXN

Brokers receive $0.30 MXN for each outgoing transfer (transfers to qtapp.ai users and SPEI) made by users they have referred to the platform. Incoming transfers do not generate commission for the Broker.

Brokers solely refer potential users of the technology platform. Accordingly, Brokers: do not provide financial advice; do not receive documents from users; do not perform identification or verification (KYC) processes; do not raise or receive funds; do not act as representatives of STP or of any financial institution; do not guarantee authorizations, approvals, or outcomes; and do not charge users any amount directly.

14. QTApp Terminals (Exclusive to Platinum Users)

This section applies exclusively to Platinum-level users who have activated the terminals service.

QTApp terminals are technological collection points of the platform (sub-users with limited, receive-only access) that allow the Affiliate to receive payments via SPEI transfers and QR/CoDi codes directed to the CLABE assigned by STP. They are not card-acceptance terminals and their operation does not constitute an aggregation or acquiring service; the receipt and recording of the funds correspond to STP.

14.1 Terminal Subscription

Monthly Cost

  • Each terminal costs $25.00 MXN (twenty-five pesos 00/100 M.N.) plus VAT
  • VAT (16%): $4.00 MXN
  • Total monthly cost per terminal: $29.00 MXN (twenty-nine pesos 00/100 M.N.) VAT included

Billing Cycle

  • The charge is automatic every 30 days from the terminal's activation date
  • The user expressly authorizes — an authorization revocable at any time — and instructs STP, through the platform, to pay the fees owed to Yusol out of the funds STP records in the corresponding account

Missed Payment

  • If there is insufficient balance, up to 3 (three) charge attempts will be made on consecutive days
  • After the third failed attempt, the terminal will be automatically suspended until payment is regularized
  • During suspension, the terminal cannot receive payments

Reactivation

  • To reactivate a suspended terminal, the Affiliate must settle the outstanding balance
  • Reactivation is subject to availability and approval by QTApp

14.2 Tax Obligations

Affiliate Responsibility

  • The Affiliate is solely responsible for reporting their income and commercial activity to the Mexican Tax Administration Service (SAT)
  • QTApp does not act as a tax withholding agent nor as a jointly liable party for the Affiliate's or their terminals' tax obligations

Tax Receipts

  • The Affiliate is responsible for issuing the Digital Tax Receipts (CFDI) corresponding to transactions made through their terminals
  • QTApp will provide the necessary transaction reports to facilitate the Affiliate's tax compliance

Tax Regime

  • The Affiliate declares being registered in the corresponding tax regime with SAT
  • Any omission, error, or non-compliance in tax matters is the sole responsibility of the Affiliate

14.3 Terminal Operation

Affiliate-Terminal Relationship

  • Terminals operate under the Affiliate's account and the CLABE assigned to them by STP
  • The funds derived from collections made through the terminals are received and recorded by STP in the electronic payment funds account, attributed to the Affiliate
  • Each terminal has limited access to the platform (payment reception only)

Terminal Limit

  • The maximum number of terminals per Affiliate is subject to evaluation and approval by QTApp

Deactivation

  • The Affiliate can deactivate their terminals at any time from the platform
  • Deactivation does not exempt the Affiliate from payment of pending subscriptions

15. Web Payment Buttons (Exclusive to Platinum Users)

This section applies exclusively to Platinum-level users who use the Web Payment Buttons functionality to integrate payments on external websites.

15.1 Service Description

Web Payment Buttons allow Platinum users to generate QR codes and embeddable widgets to receive payments on external websites. The service includes:

  • Generation of unique QR codes for each product or service
  • JavaScript widget for automatic website integration
  • REST API for server-side integration
  • Automatic detection of completed payment
  • Configurable redirect to a success URL

15.2 Merchant Requirements

  • Have Platinum level (Individual or Legal Entity)
  • Have completed KYC verification
  • Registered tax information (RFC, tax regime, address)

15.4 Integration Options

Automatic Widget (Recommended)

QTApp provides a JavaScript widget that automatically displays the QR code, detects the payment, and redirects the user. The merchant must include the script https://js.qtapp.ai/v1/payment-qr.js on their website.

Static QR Image

The merchant can obtain the QR code image directly from the QTApp API for custom designs. Payment detection must be implemented manually via polling the API.

Server-Side Integration

For stores with their own backend, QTApp offers a REST API that allows dynamic creation of payment buttons. The merchant must include their QTApp user identifier in the request headers.

15.5 Requirements for Customers (Payers)

Important

To make payments through Web Payment Buttons, the customer must be a registered QTApp user with available funds recorded by STP in the corresponding account.

15.6 Crediting of Funds

  • Payments received are credited immediately to the merchant's QTApp account
  • Payments are internal transfers between QTApp users
  • They do not depend on the SPEI system or banking hours
  • Available 24/7, 365 days a year

15.7 Button Configuration

Each payment button can be configured with:

  • Amount: Price of the product or service
  • Description: Name or detail of the product
  • Reference: Merchant's internal code (optional)
  • Success URL: Page to redirect to after payment
  • Expiration date: Button expiration (optional)
  • Usage limit: Maximum number of accepted payments (optional)

15.8 History and Reports

  • The merchant can review the history of payments received from the QTApp app
  • Payments can be filtered by date, amount, or reference
  • CSV export is available

15.9 Merchant Obligations

  • Use Web Payment Buttons only for lawful activities
  • Comply with their tax obligations derived from received payments
  • Issue the CFDIs corresponding to transactions made
  • Not modify the widget code in a way that alters its functioning
  • Provide truthful information in product/service descriptions

15.10 Limitations and Responsibilities

  • QTApp is not responsible for commercial disputes between the merchant and their customers
  • The merchant is responsible for the delivery of products/services sold
  • QTApp may suspend the service if misuse or suspicious activity is detected
  • The merchant's monthly transaction limits apply to payments received via web buttons

16. QTapp Agents (AI Assistants for WhatsApp and Telegram)

This section applies to users who contract the QTapp Agents service for the creation and operation of artificial intelligence assistants on messaging platforms.

16.1 Service Description

QTapp Agents is a Bot-as-a-Service (BaaS) offering that allows users and businesses to create AI assistants for customer service on WhatsApp and Telegram. The service uses the same AI technology that powers the qtapp.ai financial platform's AI Agent.

Each subscriber receives a dedicated VPS (Virtual Private Server) with their own QTapp Agent. This means your AI assistant runs on a fully isolated virtual private server, where your data is never mixed with other customers', ensuring security and privacy for your business.

16.3 AI Credits

  • Each plan includes a monthly AI credit consumed with every QTapp Agent interaction
  • Unused credits do not roll over to the next month
  • When credits run out, the user can top up additional balance from the QTApp app
  • Credit consumption varies according to the complexity of the generated responses

16.4 Billing Cycle

  • The charge is automatic every 30 days from the activation date
  • The subscriber expressly authorizes — an authorization revocable at any time — and instructs STP, through the platform, to pay the fees owed to Yusol out of the funds STP records in the corresponding account
  • If there is insufficient balance, up to 3 charge attempts will be made on consecutive days
  • After the third failed attempt, the service will be suspended until payment is regularized

16.5 Cancellation

  • The subscriber can cancel their subscription at any time from portal.qtapp.ai
  • Cancellation is effective at the end of the current billing period
  • No refunds for partial periods not used
  • QTapp Agent data is retained for 30 days after cancellation

16.6 Permitted Use

The subscriber agrees to use QTapp Agents only for:

  • Automated customer service
  • Information about products and services
  • Appointment scheduling
  • Answers to frequently asked questions
  • Other lawful commercial activities

16.7 Prohibited Use

It is strictly prohibited to use QTapp Agents for:

  • Spam or unsolicited messages
  • Illegal, offensive, or discriminatory content
  • Identity impersonation or fraud
  • Unauthorized collection of personal data
  • Activities that violate WhatsApp's or Telegram's terms
  • Any activity contrary to Mexican law

16.8 Subscriber Responsibilities

  • Configure the QTapp Agent with truthful information about their business
  • Supervise the QTapp Agent's interactions with their customers
  • Comply with WhatsApp Business and/or Telegram policies
  • Obtain their customers' consent to receive automated messages
  • Keep product and service information up to date

16.9 Limitation of Liability

  • QTApp does not guarantee that the QTapp Agent's responses are always accurate or appropriate
  • The subscriber is responsible for the QTapp Agent's interactions with their customers
  • QTApp is not responsible for commercial losses derived from use of the service
  • Service availability is subject to the availability of third-party platforms (WhatsApp, Telegram)

16.10 Service Suspension

QTApp reserves the right to suspend or cancel the service if:

  • Prohibited use is detected per section 16.7
  • The subscriber violates the terms of service of WhatsApp or Telegram
  • There is non-payment for more than 7 days
  • Spam or abuse reports are received from end users

Admin portal: Subscribers can manage their QTapp Agents, view statistics, and configure responses from portal.qtapp.ai

17. User Obligations

As a user, you agree to:

  • Provide truthful and updated information
  • Maintain the confidentiality of your credentials
  • Not use the service for illegal activities
  • Not attempt to breach the platform's security
  • Comply with applicable laws in Mexico
  • Declare and guarantee the lawful origin and destination of the funds collected or disbursed through the platform, assuming the corresponding responsibility
  • Assume sole responsibility for the payment instructions you order and for the payment concept you enter in each operation
  • Complete and keep your file up to date, delivering any additional documentation QTApp requests for regulatory or compliance purposes (see section 10.8)

QTApp does not manage, process, or outsource third-party payroll, does not act as an employer or labor intermediary, and does not provide payroll outsourcing services.

18. Limitation of Liability

qtapp.ai shall not be responsible for:

  • Service interruptions for reasons beyond our control
  • Losses resulting from improper use of the application
  • Errors in transactions caused by incorrect user data
  • Indirect or consequential damages

19. Security

We implement bank-grade security measures, including:

  • End-to-end encryption
  • Multi-factor authentication
  • Continuous transaction monitoring
  • PCI DSS compliance

20. Intellectual Property

All intellectual property rights of qtapp.ai, including trademarks, logos, designs, and code, belong to Yusol Proyectos, S.A.P.I. de C.V., owner of the QTapp and TKM Technology commercial brands. No license is granted over these rights except for the permitted use of the application.

21. Modifications

We reserve the right to modify these terms at any time. Changes will take effect upon publication in the application. Continued use of the service implies acceptance of the new terms.

22. Termination

We may suspend or terminate your account if:

  • You violate these terms and conditions
  • You engage in fraudulent or suspicious activities
  • You do not meet verification requirements
  • Competent authorities require it

23. Fraud Prevention and Compliance Support

QTapp implements technological identification, security, fraud-prevention, and monitoring controls aimed at preventing misuse of the platform. Such controls do not imply that Yusol is a financial institution or an obligated subject under the AML provisions applicable to Financial Technology Institutions (ITFs).

STP and the other integrated financial providers are responsible for complying with the identification, monitoring, record-keeping, and reporting obligations applicable to them. QTapp may collect and transmit information and documentation to them, and may apply technological restrictions when they so request or when it detects fraud, security, or illicit-use risks.

QTapp may provide information to the authorities where there is a legally valid requirement to do so.

Important: The platform may limit or suspend access, or prevent the transmission of instructions, when user behavior is not consistent with their profile, even if within the established limits. Such suspension does not entail the blocking, freezing, retention, or disposition of the funds held by STP.

23.1 Express User Consent

The user grants express consent for their personal data, including identification and verification data, to be processed for the purposes of:

  • Customer identification and knowledge (KYC)
  • Anti-money laundering and terrorism financing prevention (AML/CFT)
  • Compliance with applicable legal and regulatory provisions

Such processing may be carried out directly by authorized third parties that provide the financial services integrated into the platform.

24. QTapp Card

The QTapp card is issued by an authorized financial institution and processed by a specialized third party.

  • QTapp is not the card issuer, nor does it maintain a direct banking relationship with the user.
  • The specific conditions of use, fees, limits, chargebacks, and responsibilities of the card will be determined by the issuer and communicated to the user in a timely manner.
  • The user must accept the card issuer's specific terms upon requesting it.

The availability of the card will be subject to the issuer's authorization, the execution of the corresponding agreements, and compliance with applicable regulatory requirements. The mention of the card does not constitute a current offer.

25. Service Cancellation

The user may request cancellation of their access to the platform under the procedures established in the application or by contacting support.

Important Notice on Funds

QTapp is not responsible for the return of funds, as such resources are managed by authorized third parties. Any refund or withdrawal must be handled per the corresponding financial provider's terms before requesting cancellation.

The user is advised to transfer any available balance before proceeding with account cancellation.

27. Applicable Law and Jurisdiction

These terms are governed by the laws of the United Mexican States. Any dispute will be resolved in the competent courts of Mexico City.

Final Declaration

QTapp acts exclusively as a technology provider. Financial services are provided by authorized third parties under applicable Mexican law. QTapp is not a financial institution, does not hold funds, and does not require authorization as an IFPE or ITF.
